Spiderman is more powerful but Cap is a much better fighter and strategist. The fight could go either way.

*In real life Spider-Man will destroy Cap, cap has no super powers or superhuman strength
*In comics Spider-Man punched the lights out of Morlun and a Herald of Galactus, so he should easily pwn Cap, but since Cap symbolizes the flag he wins
